Marvell Technology Agrees to Acquire Lumentum in $115 Billion Deal Targeting AI Infrastructure Market
SANTA CLARA, United States, November 3, 2026, ZEX PR WIRE — Marvell Technology has agreed to acquire optical technology manufacturer Lumentum in an all-stock transaction valued at approximately $115 billion, including debt, in one of the largest corporate deals announced in 2026. The transaction, announced on November 2, is intended to strengthen Marvell’s position in the rapidly expanding market for optical connectivity and infrastructure supporting artificial intelligence systems.

The proposed acquisition reflects a broader shift in the semiconductor industry, where demand is increasingly extending beyond traditional processors and accelerators to include the networking technologies required to connect large computing systems. As companies expand their AI infrastructure, the ability to transfer enormous volumes of information efficiently between processors and storage systems has become increasingly important.
Optical Connectivity Becomes a Strategic Priority
Marvell develops semiconductor solutions used in data infrastructure, networking and communications applications. Lumentum specialises in optical and photonic technologies, including components used in high-speed communications networks.
Combining the businesses would give Marvell greater exposure to optical technologies that support communication between computing systems. Traditional electrical connections face limitations involving power consumption, signal degradation and transmission efficiency as data-center infrastructure becomes larger and more complex.
Optical technologies use light to transmit information and can offer advantages in bandwidth and energy efficiency across suitable applications. These characteristics have made optical connectivity an increasingly important part of the infrastructure supporting large-scale AI workloads.
The transaction therefore represents a strategic attempt to expand Marvell’s capabilities across a broader range of data-center technologies rather than relying exclusively on conventional semiconductor products.
Competition With Larger Semiconductor Suppliers
The proposed acquisition also reflects intensifying competition among companies supplying components for AI infrastructure. Semiconductor manufacturers are seeking to strengthen their positions in networking, custom silicon and high-speed connectivity as cloud computing providers increase capital expenditure.
Marvell’s strategic ambitions place it in closer competition with established industry participants, including Broadcom, which has developed a substantial business in networking semiconductors and custom AI chips.
Access to Lumentum’s optical technology portfolio could provide opportunities to offer more integrated solutions to large technology customers. However, the commercial benefits will depend on customer adoption, manufacturing capacity and the successful integration of the businesses.
Deal Structure and Execution Risks
The transaction is structured as an all-stock acquisition. Under the announced agreement, Lumentum shareholders are expected to receive 4.5 Marvell shares for each Lumentum share, giving them approximately one-third ownership of the combined company.
The proposed transaction is expected to close during the first half of 2028, subject to regulatory and other closing conditions. Both companies will need to address the relevant transaction requirements before the combination can be finalised.
Large acquisitions in technology markets can involve complex integration requirements, particularly when businesses operate across different manufacturing processes, product development cycles and customer relationships.
AI Infrastructure Remains the Central Growth Driver
The deal illustrates how competition in the AI industry is expanding into the physical infrastructure required to support advanced computing. Data-center operators are investing not only in processors but also in networking, power management and optical transmission systems.
Marvell’s proposed acquisition of Lumentum positions the company to pursue a larger role in this expanding market, although the eventual financial impact will depend on execution and future demand.
